These Terms and Conditions ("Agreement") govern your access to and use of the programmes, website, and related materials provided by Jatura ("we", "us", "our"), a contract lifecycle administration education provider operating from Kuala Lumpur, Malaysia. Please read this Agreement carefully before enrolling in any programme or using this website.
1. Definitions
- "Agreement" means these Terms and Conditions as updated from time to time.
- "Programme" means any educational course, workshop, or consulting engagement offered by Jatura, including CLM-01, CLM-02, and CLM-03.
- "Participant" or "User" means the individual or organisation that enrols in or accesses a Programme.
- "Organisation Client" means a business or legal entity that enrols a group of Participants or engages Jatura for a consulting engagement.
- "Materials" means all course content, handbooks, checklists, summary cards, facilitator guides, and other written or digital resources produced by Jatura.
- "Website" means the Jatura website accessible at https://jatura.pro.
2. Acceptance of Terms
By enrolling in a Programme, submitting an enquiry form, or using this Website, you confirm that you have read, understood, and agree to be bound by this Agreement. If you are enrolling on behalf of an Organisation Client, you represent that you have authority to bind that organisation to these terms.
You must be at least 18 years of age, or the age of majority in your jurisdiction, to enrol in any Programme. Jatura's programmes are intended for working professionals and are not directed at minors.
3. Programme Descriptions
Jatura currently offers three programme formats:
- CLM-01 — Contract Lifecycle Foundations Online Course: A self-paced six-module online course for individuals. Access is provided following receipt of full payment.
- CLM-02 — Contract Lifecycle Workshop for Operations Teams: A two-day facilitated workshop for groups of up to sixteen participants. Delivered in-person unless otherwise agreed in writing.
- CLM-03 — Contract Lifecycle Programme Build: A consulting engagement of approximately twelve weeks for organisations seeking to establish or refresh an internal contract administration programme.
Programme availability, scheduling, and format may be updated. Confirmed bookings will not be altered without advance notice and your agreement.
4. Enrolment and Access
Enrolment is confirmed upon Jatura's written acknowledgement and receipt of the applicable fee. For CLM-01, online course access is activated following payment confirmation. For CLM-02 and CLM-03, a scoping call will be arranged following initial enquiry and payment or deposit as applicable.
Access credentials for online materials are personal and may not be shared or transferred to other individuals. Organisation Clients enrolling multiple Participants must ensure each Participant has their own access.
Jatura reserves the right to decline any enrolment at its discretion.
5. Payment Terms
All fees are quoted in Malaysian Ringgit (RM) and are exclusive of Sales and Service Tax (SST) where applicable. Current programme fees are:
- CLM-01: RM 540 per participant
- CLM-02: RM 2,650 per group (up to 16 participants)
- CLM-03: RM 4,500 per engagement
Payment is due in full prior to programme commencement unless a payment schedule has been agreed in writing. Jatura accepts payment via bank transfer. Details will be provided in the invoice issued following enrolment confirmation.
Invoices not settled within the agreed period may result in access suspension or cancellation of the booking.
6. Cancellation and Refunds
CLM-01 (Online Course): Cancellations requested within five (5) business days of enrolment confirmation, and before the Participant has accessed any course content, are eligible for a full refund. No refund is available once course content has been accessed.
CLM-02 (Workshop): Cancellations submitted more than ten (10) business days before the scheduled workshop date will receive a full refund. Cancellations within ten business days of the scheduled date are not eligible for a refund, though a transfer to a future workshop date may be arranged at Jatura's discretion.
CLM-03 (Programme Build): Cancellation terms for consulting engagements are agreed in the engagement letter issued prior to commencement. In the absence of a specific agreement, fees paid for work already delivered are non-refundable.
Jatura reserves the right to cancel or reschedule a programme due to circumstances outside its control. In such cases, a full refund will be offered or an alternative date arranged at the Participant's choice.
7. User Responsibilities
Participants agree to:
- Use programme materials solely for their own professional development or, in the case of Organisation Clients, internal use within their organisation.
- Not reproduce, distribute, or make available any Jatura Materials to third parties outside their organisation without prior written consent from Jatura.
- Engage in workshop and consulting sessions in a professional manner.
- Provide accurate information when completing enrolment or enquiry forms.
The following activities are prohibited:
- Reselling, sublicensing, or commercially exploiting any Jatura Materials.
- Misrepresenting Jatura's programmes or Materials as the User's own work.
- Recording workshop sessions without Jatura's prior written consent.
- Using the Website for any unlawful purpose or in a manner that could damage or overburden Jatura's systems.
8. Intellectual Property
All Materials, content, course structure, methodologies, and branding produced by Jatura are and remain the intellectual property of Jatura. No part of these materials may be reproduced, adapted, or distributed in any form without prior written permission, except as expressly permitted under these Terms.
For CLM-01 and CLM-02, Participants receive a limited, non-exclusive, non-transferable licence to use the provided Materials for their own professional reference and, where applicable, for internal use within their employing organisation.
For CLM-03 (Programme Build), the output programme and supporting materials are produced for the Organisation Client's internal use. Unless otherwise stated in the engagement letter, the Organisation Client receives ownership of the specific deliverables produced for them. Jatura retains ownership of underlying frameworks, methodologies, and structural approaches used in developing those deliverables.
9. Disclaimers
Jatura's programmes are educational and operational in nature. They do not constitute legal advice and are not a substitute for advice from a qualified legal practitioner. Participants should consult their own legal advisors in respect of specific contractual matters.
While Jatura takes care to ensure programme content is accurate and relevant to Malaysian commercial practice, no warranty is given that the content is complete, current, or suitable for any specific purpose. Programme content reflects the state of general commercial practice at the time of publication and may not account for changes in law or industry standards occurring after that date.
The Website and all Materials are provided "as is" without warranties of any kind, express or implied.
10. Limitation of Liability
To the maximum extent permitted by Malaysian law, Jatura's total liability to any Participant or Organisation Client arising out of or in connection with a Programme shall not exceed the amount paid by that Participant or Organisation Client for the relevant Programme.
Jatura shall not be liable for any indirect, consequential, incidental, or special loss or damage, including loss of profit, loss of business opportunity, or loss of data, even if advised of the possibility of such loss.
Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
11. Indemnification
You agree to indemnify and hold harmless Jatura, its staff, and associates from and against any claims, losses, liabilities, and expenses (including reasonable legal costs) arising from your breach of this Agreement, your misuse of Materials, or your violation of any applicable law in connection with your use of Jatura's programmes or Website.
12. Termination
Jatura may suspend or terminate a Participant's access to a Programme if the Participant materially breaches this Agreement, including but not limited to non-payment, misuse of Materials, or conduct that disrupts workshop delivery. Where a breach is capable of remedy, Jatura will provide written notice and a reasonable opportunity to remedy prior to termination.
On termination for breach, no refund of fees paid will be due. Provisions of this Agreement that by their nature survive termination — including intellectual property rights, disclaimers, limitation of liability, and indemnification — will continue to apply.
13. Dispute Resolution
This Agreement is governed by the laws of Malaysia. Any dispute arising out of or relating to this Agreement shall first be submitted to good-faith negotiation between the parties. If the dispute is not resolved within thirty (30) days of written notice, either party may refer the matter to mediation through an accredited mediator in Kuala Lumpur before commencing court proceedings.
The parties submit to the non-exclusive jurisdiction of the courts of Malaysia for the resolution of any disputes not resolved through negotiation or mediation.
14. General Provisions
Entire Agreement: This Agreement, together with any engagement letter or written confirmation issued for a specific Programme, constitutes the entire agreement between the parties in respect of the subject matter and supersedes all prior representations, discussions, or agreements.
Severability: If any provision of this Agreement is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
Waiver: Failure by Jatura to enforce any provision of this Agreement on one occasion does not constitute a waiver of that provision on any other occasion.
Assignment: You may not assign or transfer your rights under this Agreement without Jatura's prior written consent. Jatura may assign its rights and obligations with notice to you.

15. Changes to These Terms
Jatura may update these Terms and Conditions from time to time to reflect changes in its programmes, applicable law, or operational practice. Updated terms will be published on this page with a revised "Last Updated" date. Continued use of the Website or enrolment in a Programme after updated terms are published constitutes acceptance of those terms.
For Participants enrolled in a Programme at the time of any material change, Jatura will provide reasonable advance notice by email.
